Paramount+ and Showtime Have Hard Launched Their Merger

Paramount+ and Showtime, no wait… Paramount+ plus Showtime. Actually, add a lil’ preposition and make it Paramount+ with Showtime. Despite the slightly confusing name change, the two platforms are hard launching their merger to become Paramount+ with Showtime, with the linear pay-television channel run by Chris McCarthy and the streaming side by Tom Ryan. The services soft launched their partnership last year when they created a subscription bundle for both Showtime and Paramount+; however, they still marketed them as separate services. With this new news, this transition means Showtime’s library, including Yellowjackets and I Love That For You, combines with Paramount+’s streaming library and vice versa: some Paramount+ programs are also reportedly heading to the linear channel. More details on when the services shall officially cross over and their prices will be announced, most likely during the Paramount town hall during the week of February 23.

However, where there’s a merger, there are losses. Showtime’s American Gigolo, Let The Right One In, and new series Three Women have been canceled amid the merger news; the latter has not premiered yet, despite wrapping production and its star Shailene Woodley promoting the show. In addition to canceling American Gigolo and Let The Right One In, insiders tell Vulture there’s a good chance the already-produced episodes of the shows will be pulled from the service altogether in the coming weeks. Other Showtime library titles may also be pulled in the coming months in preparation for the complete integration of Paramount+ and Showtime. However, Showtime cable customers may eventually be able to access more series overall since the two platforms will share a common app by year’s end. Insiders confirm that the current Showtime direct-to-consumer offering, as well as the Showtime Anytime app – for current cable customers – will disappear before the year is over.

At this point, sadly, who isn’t raising prices? We have to pay almost six dollars for eggs, mind you, and now we have to pay even more for yet another streaming service. During its quarterly earnings call this morning, Paramount Global broke the news that it will raise Paramount+’s subscription rates by two dollars, max. The essential plan with advertising will go from $4.99 to $5.99 (cheaper than eggs, hmmm), while the ad-free premium plan, which is currently $9.99, will be priced at $11.99 and will affect both new and existing customers. The upshot is that going forward, that ad-free premium plan will also include Showtime, and be christened “Paramount+ with Showtime” in a bit of a brand re-shuffle. Paramount Global did not reveal an exact start date for the price increases, though The Hollywood Reporter writes that executives on the call did say it would come into effect in “the third quarter of 2023.”

Paramount+ with Showtime is not the first streamer to raise its prices in the past year, joining the ranks of Hulu, Disney+, and HBO Max. Like HBO Max with Discovery+, Paramount’s streamer is priming itself for its inevitable and more official merger with Showtime by doing cost reevaluation (a.k.a. pricier subscriptions), retiring some of its titles for tax write-offs, and moving them onto FAST platforms like Tubi, Pluto, and the Roku Channel as the company braces for a $1.3 billion to $1.5 billion hit this quarter.

Paramount+ Price to Increase as Losses Peak and Company Sets $1 Billion-Plus Write-Down on Showtime Integration

Paramount Global is preparing to hike the monthly price of Paramount+ later this year, and the company disclosed its intent to take as much as a $1.5 billion write-down from the integration of Showtime with the streaming platform.
Paramount Global’s Q4 earnings report added to the sector-wide pain felt by Big Media amid steep losses from heavy investment in content and marketing to build up direct-to-consumer streaming platforms. Paramount Global CEO Bob Bakish and chief financial officer Naveen Chopra emphasized repeatedly that 2023 will mark the summit of the company’s spending on Paramount+ and other platforms. But as evidenced by Q4, the advertising slowdown and macroeconomic headwinds affecting consumers have created a perfect storm.

Paramount Global acknowledged that the company will have negative free cash flow in 2023 — a situation that would have seemed shocking for a media giant the size of Paramount just a few years ago. The news of the write-down coupled with the previously announced integration of Paramount+ and Showtime also provides strong evidence that the “Peak TV” bubble of rampant series production is rapidly coming to an end. Paramount Global expects to save about $700 million in the long term on content costs by uniting Paramount+ and Showtime.
Chopra unveiled the pricing plan details and plans for a $1.3 billion-$1.5 billion impairment charge as Showtime is blended into Paramount+ in the U.S.
Paramount Global CEO Bob Bakish acknowledged that the company hit big “headwinds” in 2022 and that 2023 will not be a robust year for profits. “We are at peak investment in 2023” in Paramount+, Bakish said.
The monthly price of the premium Paramount+ tier with Showtime will rise to $11.99, from $9.99 at present. The essential tier without Showtime and with advertising will climb to $5.99 from $4.99. Executives did not specify a time frame for the price hikes but said they would come this year.
The impairment charge will be taken in the current quarter for Paramount. Chopra said that write-down is “all about content, driven by the fact that when we combine Showtime and Paramount+, we don’t need the kind of content you would need if they were operating on an independent basis.”
The early response from investors to Paramount Global’s Q1 earnings, unveiled before the market opened, was harsh. The stock was down about 5% at the start of trading, opening at $22.95. UBS reiterated its sell rating on Paramount Global with a price target of $15.

Bakish was pressed on the call by analyst Rich Greenfield about the Showtime strategy, indicating that the company received offers to buy the pay TV stalwart as a stand-alone unit. The CEO didn't directly address the question of fielding inquries for Showtime but he did indicate that they'd crunched some numbers. "We think there's enormous value to unlock with the integration of Showtime and Paramount+. Relative to that, if we were to divest the asset, it would have to create more value than our operating plan," Bakish said. "That bar is pretty high."


Paramount Global has had its struggles with the transition from linear basic cable to the weaker profit margins delivered by direct-to-consumer streaming. Bakish was also asked for his views on comments made last week during an earnings call by Disney CEO Bob Iger, who asserted that the Mouse is wary of being too invested in "general entertainment" given the enormous competition for eyeballs.
In Bakish's view, Paramount Global has the assets to drive a broad-based content strategy, appealing to the youngest viewers via Nickelodeon on up to the adult-focused high-end scripted dramas on Showtime, CBS and Paramount+. "Differentiation matters. The general entertainment space may not make sense for everyone," Bakish said. "But general entertainment clearly makes sense for us."

Paramount surpassed 77 million streaming subscribers in Q4, adding 10 million to Paramount+ alone to reach nearly 56 million customers for that platform.
In comparison, the paid streamer added 4.6 million subscribers in the third quarter, reaching nearly 67 million global direct-to-consumer customers overall for Paramount by the end of September.
During the fourth quarter, Paramount Global’s SVOD launched splashy Taylor Sheridan titles “1923,” yet another a prequel to his hit Paramount Network series “Yellowstone,” and the Sylvester Stallone-led “Tulsa King,” as well as the “Criminal Minds” revival “Criminal Minds: Evolution” and the streaming debut of “Top Gun: Maverick.”

Paramount revealed the sub growth in its Q4 earnings report Thursday, noting: “Subscriber growth was driven by a strong content slate, including the NFL, the expansion of existing franchises like ‘Top Gun: Maverick’ and ‘1923,’ the success of new franchises like ‘Tulsa King’ and ‘Smile,’ as well as CBS’s overall entertainment slate.” Internationally, Paramount says the top acquisition drivers for Paramount+ were “Maverick” and “Yellowstone.”
The streamer currently has partnership and distribution deals with Walmart, Delta, Sky, Canal+, Amazon and Roku that contribute to its overall subscriber tally.
Paramount’s ad-supported platform Pluto TV approached 79 million monthly active users (MAUs) worldwide in Q4, up from 72 million at the end of Q3.
Per Paramount, streaming revenue was up 30% overall year-over-year, with Paramount+ revenue jumping 81%. Sub revenue increased 48% and ad sales ticked up 4%.
“Paramount continues to demonstrate the success of its global multiplatform strategy, with popular content at its core,” president and CEO Bob Bakish said Wednesday. “Nowhere was this more evident than in the growth of Paramount+, which added a record 9.9 million subscribers in the fourth quarter, driven by hit content like Top Gun: Maverick, 1923 and Criminal Minds: Evolution. In addition, in 2022, Paramount Pictures had 6 films open at #1 in the U.S. box office and Paramount regained its position as the most-watched media family in linear television. Our content and platform strategy is working and, with even more exceptional content coming this year, we expect to return the company to earnings growth in 2024.”

Paramount Global Shares Tumble After Earnings Miss Targets

Shares of media giant Paramount Global tumbled in early trading Thursday after the company missed earnings targets and told investors profitability in its crucial streaming business would likely not take place until 2024.
During a call with investors Thursday, executives from Paramount Global said they expected advertising, which has been crimped in recent months by recession fears and a roiled stock market, to improve in the second half of the year. They also suggested the merger of Showtime and Paramount+ would help cut expenses in content and on staffing.
Class B shares of Paramount Global in recent trading were off 5.66%, or $1.39 a share, falling to $23.15 per share from Wednesday’s closing of $24.54.

The company said it added 9.9 million subscribers to its Paramount+ streaming hub in the period and saw a new cohort of users come to its free, ad-supporters streaming venue Pluto. But those gains could not overcome a 93% decline in operating income., or a 7% decline in revenue among the company’s biggest business, its traditional TV networks. Paramount Global said the company swung to a loss, compared with a sizable profit in the year-earlier period.

Paramount Global said revenue fell 7% in the period at its traditional TV operations, declining to $5.88 billion compared with approximately $6.3 billion in the year-earlier quarter. Advertising revenue in the sector fell 7% and revenue from affiliate fees was off 4%. The company cited shrinking linear audiences and subscriptions to cable and satellite distributors as some of the factors in the results.

Fatal Attraction, which Cunningham was hoping to continue with a second season, and Rabbit Hole become the latest cancellations to come at Paramount+ and join the recently axed iCarly sequel, Star Trek: Prodigy (which found a new home at Netflix), Grease: Rise of the Pink Ladies, The Game and the unscripted show Queen of the Universe.

The latter four shows, in addition to being canceled, were also removed from Paramount+ as the streamer, like others, took advantage of a tax write-off. Also removed from the platform was Inside Amy Schumer, Tell Me a Story and scores of originals from Nickelodeon.
